1. מסגרת ההסכם / Agreement Framework
מסמך זה מהווה חוזה משפטי מחייב ברמה הבינלאומית (Smart Contract & E-Agreement) בין המשתמש לבין MITA Music Inc ("MITA"). By accessing or using the platform, you confirm you are legally capable of entering this agreement under the laws of your country of residence, and you fully accept the terms herein.
2. מעמד החברה — Marketplace Safe Harbor
MITA operates solely as an Independent Tech Facilitator providing virtual SaaS infrastructure for EPK management and secure payment processing. The company is NOT a party to any contract between artists, producers, or equipment providers. The company enjoys full platform immunity per the European E-Commerce Directive and US CDA Section 230, and is not liable for user content, actual service quality, or intellectual property uploaded by users.
3. שירותי תשלום מאובטח ו-AML/KYC
Secure payment processing services are provided as a technological tool to protect transactions. MITA is not a financial institution. To comply with international Anti-Money Laundering (AML) standards, MITA and/or its third-party payment processors (Stripe) reserve the right to request KYC (Know Your Customer) verification. Non-compliance will result in account suspension and fund freezing.
4. הגבלת אחריות — Limitation of Liability
In no event shall MITA Music Inc, its subsidiaries, officers, directors, or employees be liable for indirect, special, punitive, or consequential damages (including loss of revenue, data loss, reputational damage, or event cancellation). MITA's total cumulative liability to any user is limited to the lesser of: fees actually paid by that user in the 12 months preceding the claim, OR USD $100.
5. כוח עליון — Force Majeure
MITA is exempt from liability for delays or failures caused by events beyond its control: global pandemics, border closures, wars, global internet failures, or trade union strikes.
6. מדיניות ביטולים — Cancellation Policy
Organizer cancels < 48 hours before event: Artist receives 100% of fee. Organizer cancels 48 hours–7 days before: Artist receives 50%. Artist cancels for illness: Full refund to organizer (medical certificate required). Government force majeure (e.g., lockdown): Full refund to organizer, no penalties for either party.
7. איסור על עסקאות מחוץ לפלטפורמה
Requesting or accepting payments outside the platform for work arranged through MITA is a material breach of these Terms and may result in immediate account suspension, forfeiture of secured funds, and permanent ban.
8. סמכות שיפוט ובוררות — Jurisdiction & Arbitration
All legal disputes shall be governed exclusively by the substantive law of the State of Israel. Any claim against MITA Music Inc shall be resolved by binding international arbitration, or at MITA's discretion, in competent courts of the Tel Aviv district. The user hereby waives the right to participate in any class action (Class Action Waiver) against the platform.
9. שינויים לתקנון — Changes to Terms
We may update these terms at any time. Continued use of the platform after any update constitutes your acceptance of the new terms. Material changes will be notified via email.
